Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual or entity) and Quantum MCP ("Company," "we," "us," or "our") concerning your access to and use of the Quantum MCP platform, including all related applications, services, and AI agents (collectively, the "Service").

2. Description of Service

Quantum MCP provides an autonomous B2B lead generation and sales orchestration platform featuring:

• 31 AI agents for automated prospecting and outreach
• 2,800+ MCP server integrations via Pipedream Connect
• Real-time task prioritization and orchestration
• DIAF 4.0 scoring algorithms
• Automated meeting scheduling and qualification

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use
• Ensuring your account information is accurate and current

4. Subscription Plans and Payment

4.1 Plans Available

• 7-Day Trial: Limited access to 5 AI agents, 100 prospects/day
• Professional: $2,000/month - Full platform access
• Enterprise: Custom pricing - Dedicated support and features

4.2 Billing Terms

• Subscriptions automatically renew unless cancelled
• Payment is due in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice

4.3 Trial Terms

• Trial accounts automatically expire after 7 days
• No payment information required for trial signup
• Trial limitations cannot be circumvented
• One trial per company/individual

5. Acceptable Use Policy

5.1 Prohibited Uses

You agree not to:

• Violate any applicable laws or regulations
• Send spam or engage in abusive outreach practices
• Harvest or collect data without proper consent
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to any systems
• Reverse engineer or decompile any part of the Service
• Use the Service for competitive analysis or to build a competing product
• Resell or redistribute the Service without authorization
• Upload malicious code or harmful content
• Misrepresent your identity or affiliation

5.2 Compliance

You are responsible for ensuring your use complies with:

• CAN-SPAM Act and similar anti-spam laws
• GDPR, CCPA, and other privacy regulations
• Industry-specific regulations (HIPAA, FINRA, etc.)
• LinkedIn and other third-party platform terms

6. Intellectual Property Rights

6.1 Our Property

The Service and its entire contents, features, and functionality are owned by Quantum MCP and are protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to:

• AI agent algorithms and implementations
• DIAF scoring methodology
• Software code and architecture
• User interface designs
• Logos and branding elements

6.2 Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive license to use, process, and store your content as necessary to provide the Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation or attribution.

7. AI Agents and Automation

7.1 AI Performance

While our AI agents are sophisticated, we cannot guarantee:

• 100% accuracy in lead qualification
• Specific conversion rates or outcomes
• Compatibility with all third-party systems
• Uninterrupted operation of AI services

7.2 Your Responsibilities

You are responsible for:

• Reviewing AI-generated content before use
• Ensuring outreach complies with regulations
• Monitoring AI agent activities
• Maintaining appropriate human oversight

8. Third-Party Integrations

The Service integrates with third-party platforms ("MCP Connections"). We are not responsible for:

• Third-party service availability or performance
• Changes to third-party APIs or terms
• Data loss due to third-party failures
• Third-party fees or charges

9. Data Protection and Security

9.1 Our Commitments

We implement industry-standard security measures including encryption, access controls, and regular audits. However, no system is completely secure, and we cannot guarantee absolute security.

9.2 Your Obligations

You must:

• Only upload data you have rights to use
• Comply with data protection laws
• Obtain necessary consents for data processing
• Promptly report any security incidents

10. Disclaimers and Limitations of Liability

10.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUM MCP SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss or corruption of data
• Damages exceeding the fees paid in the preceding 12 months

11. Indemnification

You agree to indemnify and hold harmless Quantum MCP and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data

12. Termination

12.1 By You

You may terminate your account at any time through account settings or by contacting support. Termination does not entitle you to refunds.

12.2 By Us

We may suspend or terminate your account immediately for:

• Violation of these Terms
• Non-payment of fees
• Suspected fraudulent or illegal activity
• Extended period of inactivity

12.3 Effect of Termination

Upon termination:

• Access to the Service ceases immediately
• We may delete your data after 30 days
• You remain liable for outstanding fees
• Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Arbitration Agreement

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

13.2 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles.

14.2 Entire Agreement

These Terms constitute the entire agreement between you and Quantum MCP regarding the Service.

14.3 Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance.

14.4 Severability

If any provision of these Terms is found invalid, the remaining provisions shall continue in effect.

14.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

14.6 Force Majeure

Neither party shall be liable for delays or failures due to causes beyond reasonable control.

15. Export Compliance

You agree to comply with all applicable export and import laws and regulations, including U.S. Export Administration Regulations.

16. Beta Features

We may offer beta features that are provided "as is" without warranties. We may modify or discontinue beta features at any time without notice.
